1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vesper ("Company," "we," "us," or "our") governing your use of the Vesper service, including our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Service Description

Vesper is an AI-powered email automation platform that:

  • Connects to your Gmail account to monitor unread emails
  • Uses artificial intelligence (Google Gemini) to analyze email content and context
  • Generates contextually relevant responses based on your uploaded knowledge base
  • Creates draft responses or automatically sends replies based on your preferences
  • Provides email indexing and searchable archives of your correspondence

The Service is provided "as is" and is subject to availability. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by signing in with your Google account. You represent and warrant that:

  • You are at least 13 years of age
  • All information you provide is accurate and current
  • You have the legal authority to enter into this agreement
  • You own or have authorization to access the Gmail account you connect

3.2 Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to:

  • Use a strong password and keep it confidential
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities conducted through your account

3.3 Account Termination

You may terminate your account at any time through your dashboard settings. We reserve the right to suspend or terminate your account for violation of these Terms, fraudulent activity, or any other reason at our discretion.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited commercial messages, or phishing attempts
  • Transmit malware, viruses, or other harmful code
  • Harass, threaten, or abuse others
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in fraudulent or deceptive practices
  • Scrape, harvest, or collect user data without authorization
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service for any illegal or unauthorized purpose
  • Bypass any security measures or access restrictions

We reserve the right to investigate and take appropriate legal action against anyone who violates this policy.

5. User Content and Knowledge Base

5.1 Your Content

You retain all ownership rights to the content you upload to your knowledge base and the emails processed through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, store, and process your User Content solely to provide and improve the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to all User Content
  • Your User Content does not infringe any third-party intellectual property rights
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content does not contain confidential information you are not authorized to share

5.3 AI-Generated Content

AI-generated email responses are provided as suggestions only. You are responsible for reviewing, editing, and approving all responses before they are sent. We are not liable for any AI-generated content or its consequences.

6. Intellectual Property

6.1 Company Intellectual Property

The Service, including its software, algorithms, user interface, and all related intellectual property, is owned by Vesper and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software.

6.2 Trademarks

"Vesper" and our logo are trademarks of Vesper. You may not use our trademarks without prior written permission.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use them without compensation or attribution.

7. Third-Party Services

The Service integrates with third-party services, including:

  • Google (Gmail & Gemini AI): Subject to Google's Terms of Service and Privacy Policy
  • Supabase: Database and authentication services
  • Vercel: Hosting and infrastructure

Your use of third-party services is subject to their respective terms and policies. We are not responsible for the actions, content, or policies of third-party services.

8. Subscription and Payment Terms

8.1 Free and Paid Plans

We offer both free and paid subscription plans. Features, limitations, and pricing are detailed on our website and may change with notice.

8.2 Billing

  • Paid subscriptions are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method for applicable fees
  • Fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice

8.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that time.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Limitations

We do not guarantee the accuracy, completeness, or appropriateness of AI-generated responses. The AI may produce incorrect, biased, or inappropriate content. You must review all AI-generated content before use.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vesper, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Data Protection and Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you agree to our data practices as described in the Privacy Policy.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
